These Terms of Service (the "Terms") govern your access to and use of Adchef AI, the software-as-a-service platform operated by AdGreetz, Inc. ("AdGreetz", "we", "us", or "our") that generates advertising creative — including images, videos, and UGC-style ads — from your brand assets (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.
1. Accounts
You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for safeguarding your credentials. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. Team accounts allow multiple members with roles and permissions; the account owner is responsible for the actions of its members.
2. Subscriptions, Credits, and Payment
The Service is offered on paid subscription plans, which may be billed per seat, and usage of generative features is metered in credits. Credits are consumed when you generate, edit, or render creative through the Service, at the rates shown in the product. You may purchase additional credit top-ups. Credits have no cash value, are not transferable, and expire in accordance with the terms of your plan.
Subscription fees are billed in advance and are non-refundable except where required by applicable law. If you believe you were billed in error or a generation failed due to a fault in the Service, contact support and we will review the issue in good faith. We may change pricing with notice effective at your next renewal. If you fail to pay fees when due, we may suspend or downgrade your access.
3. Your Content and Uploaded Assets
You may upload brand assets to the Service — including logos, product images, photos, video, audio, brand guidelines, and likenesses of people ("Customer Content"). You retain all rights in your Customer Content. You grant us a limited, non-exclusive license to host, process, reproduce, and modify Customer Content solely to operate and provide the Service to you, including submitting it to the third-party AI model providers used to fulfill your generation requests.
You are solely responsible for ensuring you have all rights, licenses, and consents needed for the Customer Content you upload and the ways you use it — including trademark rights in logos and brand names, copyright in images and footage, and, for any real person's likeness, image, or voice, that person's verifiable consent. 4. AI-Generated Output
Subject to these Terms and your payment of applicable fees, as between you and AdGreetz, you own the advertising creative the Service generates for you ("Output"). Your rights in Output are additionally subject to the terms of the third-party AI model providers used to generate it, which may impose their own usage conditions.
You acknowledge that generative AI is probabilistic: similar prompts and assets may produce similar output for other customers, and we do not guarantee that Output is unique, non-infringing, or fit for a particular purpose. You are responsible for reviewing Output before publishing it and for its compliance with advertising laws, platform policies, and third-party rights in the markets where you run it.
5. Acceptable Use
Your use of the Service is subject to our Acceptable Use & Content Policy, which is incorporated into these Terms by reference. It prohibits, among other things, deepfakes and non-consensual use of a person's likeness, impersonation of people or brands, misleading or fraudulent advertising, and infringing or illegal content. We may remove content and suspend or terminate accounts that violate it.
6. Intellectual Property of the Service
The Service — including its software, models, interfaces, and documentation — is owned by AdGreetz and its licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights. You may not reverse engineer the Service, resell it, or use it to build a competing product, and you may not use automated means to access it except through interfaces we provide for that purpose.
7. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Service you consent to that processing, including the processing of content you submit for generation by our third-party AI providers.
8. Warranty Disclaimer
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT OUTPUT WILL MEET YOUR REQUIREMENTS OR THAT ITS USE WILL NOT INFRINGE THIRD-PARTY RIGHTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADGREETZ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
10. Indemnification
You will defend, indemnify, and hold harmless AdGreetz and its officers, directors, employees, and agents from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising out of (a) your Customer Content, including any claim that it infringes or misappropriates third-party rights or was uploaded without required consents; (b) your use of Output in your advertising; or (c) your breach of these Terms or the Acceptable Use & Content Policy.
11. Suspension and Termination
You may cancel your subscription at any time, effective at the end of the current billing period. We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay, or use the Service in a way that creates risk or possible legal exposure for us or others. Upon termination, your right to use the Service ends; sections that by their nature should survive (including Sections 4, 8, 9, 10, and 12) survive. We may provide a reasonable window after termination to export your Output, except where we terminate for violation of the Acceptable Use & Content Policy.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
13. Changes to These Terms
We may update these Terms from time to time. If a change is material, we will provide notice — for example by email or an in-product notice — before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
